By submitting your recipe(s) for publication, you authorize Toigo Orchards and its parent company, subsidiaries, affiliates, partners and licensees unrestricted use of the recipe(s), including your name and recipe information. We reserve the right to modify, reproduce and distribute the material in any medium and in any manner.
We ask that you agree to the following disclaimer before submitting your original recipe. This disclosure, and all previous or additional disclosures related to the recipe(s) submitted now or at any time, shall be subject to the provisions of this agreement. I agree that Toigo Orchards may use this recipe(s) under the following terms and conditions:
1. Disclosure of this information is entirely voluntary on my part and I do not expect Toigo Orchards to keep it in confidence. I understand that no confidential relationship whatsoever is established by or is to be implied from this submission or consideration of the submitted material and that this submission, along with my name and story, may be posted on the Internet or otherwise disseminated to the general public, and that is, in fact, the intent with which I submitted it.
2. Except to the extent that I have or obtain a valid patent, copyright or other registration on my recipe, Toigo Orchards, its subsidiaries and related entities, shall have the right to use and exploit the information in any way. This recipe is entirely original. I have not copied or obtained it from any other source, and I am unaware of any other person or entity with any rights in or to this recipe or any part thereof. If I have obtained it from another source, I am submitting it with the full knowledge and permission of that source.
3. If I have or obtain a valid patent, copyright or other registration on this information I will notify Toigo Orchards and provide them with copies of such patent, copyright or other registration. If Toigo Orchards wishes to use the information, they will negotiate with me concerning the terms of any such use.
4. Toigo Orchards is under no contractual obligation with respect to the information or material submitted by me unless Toigo Orchards enters into a properly executed, specific written agreement with regard to the material or recipe. I agree that, unless this agreement is superseded by a subsequent agreement in writing, I will make no claim against Toigo Orchards, its subsidiaries or related entities, its or their officers, directors or employees, with respect to the materials submitted, other than those to which I may be entitled as a result of a valid patent, copyright or other registration.
